Terms & Conditions
§ 1 Scope and Contracting Party
These General Terms and Conditions (GTC) apply to all contracts concluded via the online shop at novacell-peptides.com (the "Shop"). The contracting party is NCBL Sciences OÜ, Tornimäe tn 5, Kesklinna linnaosa, 10145 Tallinn, Estonia, registered in the Estonian Commercial Register under registration code 17455124 ("Seller", "we").
All products are intended exclusively for scientific research purposes (Research Use Only, RUO). They are not approved for human or animal consumption, nor for diagnostic, therapeutic or cosmetic use, nor for any application on humans or animals. Conflicting terms of the buyer are not recognised unless we expressly agree to them in writing.
§ 2 Conclusion of Contract
The presentation of products in the Shop does not constitute a legally binding offer, but a non-binding invitation to order (invitatio ad offerendum). By clicking the "Order with obligation to pay" / "Buy Now" button, the buyer submits a binding offer.
An automated order receipt by email merely confirms receipt and does not constitute acceptance. The contract is only concluded upon dispatch of our explicit order confirmation or, at the latest, upon shipment of the goods. For bank transfer / prepayment we reserve the right to defer acceptance until payment is received.
§ 3 Prices and Taxes
All prices are quoted in the selected currency (EUR, CHF, GBP, USD, AED). The price displayed in the Shop at the time of order is binding. For consumer (B2C) deliveries within the EU, VAT is accounted for under the One-Stop-Shop (OSS) scheme in the country of destination; quoted prices include the applicable statutory VAT.
For B2B deliveries to other EU Member States to buyers with a valid VAT identification number, the reverse-charge procedure applies and prices are to be understood as net prices. Deliveries outside the EU (UAE) are VAT-free; any import duties, customs and taxes payable in the destination country are borne by the buyer.
§ 4 Payment Terms and Retention of Title
We only accept the payment methods offered at checkout: (a) bank transfer (SEPA / SWIFT) to NCBL Sciences OÜ and (b) cryptocurrency payment via NOWPayments. Payment is due immediately upon conclusion of contract. For bank transfer, the invoice amount must be credited to the indicated account within 7 calendar days of the order confirmation; after this period we may cancel the order.
For cryptocurrency payments, the buyer bears the exchange-rate and network risk; the amount confirmed by the payment service provider at the time of transaction is binding. The goods remain our property until full payment has been received (retention of title). Set-off with counterclaims is only permitted if such claims are undisputed or have been legally established.
§ 5 Delivery and Shipping Regions
We deliver exclusively to the following regions: 25 EU Member States (those selectable at checkout) and the United Arab Emirates (UAE). We do not ship to the United Kingdom, Switzerland, Norway or Serbia. We do not deliver to any other country. Delivery time within the EU is typically 2–6 business days, to third countries 2–6 business days, each from receipt of payment.
Peptides are shipped in protective, discreet packaging. Shipping costs follow the current shipping fee table and are transparently displayed before completion of the order. Partial deliveries are permitted where reasonable for the buyer; any additional costs arising are borne by us.
§ 6 Transfer of Risk and Shipping Guarantee
For consumers, the risk of accidental loss or deterioration of the goods passes to the buyer only upon handover. For business customers (B2B), the risk passes upon handover of the goods to the carrier.
IMPORTANT NOTICE – Deliveries outside the EU: For shipments to the United Arab Emirates we provide NO reshipment guarantee. In the event of loss, seizure by customs or authorities, return due to address issues or refusal of acceptance, or any other transport- or import-related incidents, there is no claim to a free reshipment, refund or replacement delivery. The buyer bears the full shipping, customs and import risk for deliveries outside the EU.
§ 7 Minimum Age and Intended Use
Purchase is permitted exclusively for persons who have reached the age of 18 and possess the qualification or institutional affiliation required to handle scientific substances. By placing an order, the buyer expressly confirms their minimum age and their status as a researcher or representative of a research institution.
The buyer undertakes to use the products exclusively for scientific in-vitro research purposes in suitable laboratory environments and not to forward them to private individuals without appropriate qualification. Any application on humans or animals, use in clinical trials without regulatory approval, and any therapeutic, diagnostic or cosmetic use are strictly prohibited.
§ 8 RUO Indemnification
The buyer shall indemnify and hold the Seller harmless from any third-party claims as well as from all damages, costs and expenses (including reasonable legal defence costs) arising from any non-intended use of the products, in particular from application on humans or animals, transfer to unqualified third parties, or any violation of local laws, import regulations or pharmaceutical regulations.
This indemnification does not apply to the extent the damage was caused by the Seller intentionally or through gross negligence.
§ 9 Right of Withdrawal for Consumers
Consumers within the meaning of EU consumer law have a statutory right of withdrawal of 14 days from receipt of the goods. The detailed withdrawal instructions and the model withdrawal form are available at /widerruf and form an integral part of these GTC.
The right of withdrawal does not apply, or expires early, for goods that, after delivery, are inseparably mixed with other goods due to their nature, and for sealed goods that are not suitable for return for reasons of health protection or hygiene if their seal has been removed after delivery (Art. 16(e) Consumer Rights Directive 2011/83/EU). This applies only to vials that have already been opened or unsealed; unopened, originally sealed goods can be returned under the statutory right of withdrawal.
§ 10 Warranty and Quality
Statutory warranty rights apply to consumers. Please report obvious defects (transport damage, wrong delivery, missing vials) if possible within 7 days of receipt, with photo documentation, by email to support@novacell-peptides.com so that we can help quickly; consumers' statutory rights remain unaffected.
In B2B transactions, an obligation to inspect and notify defects applies analogously to § 377 German Commercial Code (HGB) / equivalent commercial-law standards. Warranty claims by business customers are time-barred 12 months after transfer of risk. Product specifications are determined exclusively by the respective Certificate of Analysis (COA); public statements by third parties (e.g. scientific studies) do not create any further agreement on properties.
§ 11 Liability
We are fully liable for intent and gross negligence as well as under the Product Liability Act and in cases of injury to life, body or health. In case of slight negligence, we are only liable for breach of essential contractual obligations (cardinal duties), and even then only limited to the typical, foreseeable damage.
Any liability for damages resulting from non-intended use of the products – in particular from application on humans or animals – is excluded. Liability for lost research results, consequential damages or indirect damages is excluded to the extent permitted by law.
§ 12 Data Protection
We process personal data exclusively within the scope of statutory provisions, in particular the EU General Data Protection Regulation (GDPR) and the Estonian Personal Data Protection Act.
Details on data processing, your rights as data subject and contact options can be found in our privacy policy at /datenschutz.
§ 13 Online Dispute Resolution
The European Commission’s Online Dispute Resolution platform was discontinued on 20 July 2025. Please send complaints directly to support@novacell-peptides.com.
We are neither obliged nor generally willing to participate in dispute resolution proceedings before a consumer arbitration board, but we strive for an amicable, out-of-court resolution of disputes.
§ 14 Governing Law, Jurisdiction and Final Provisions
The law of the Republic of Estonia applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers with habitual residence in an EU Member State, the mandatory consumer protection provisions of the law of their state of residence remain unaffected (Art. 6 Rome I Regulation). The exclusive place of jurisdiction for all disputes with business customers is Tallinn, Estonia; statutory consumer venues remain unaffected.
The authoritative contract language is English; translations of these GTC are for information purposes only. Should individual provisions of these GTC be or become invalid or unenforceable, the validity of the remaining provisions shall not be affected; the invalid provision shall be replaced by an effective provision that comes closest to the economic purpose of the invalid provision.
